1. Sponsor: The sponsor of the Revolve Festival Scavenger Hunt (the "Contest") is Eminent, Inc., dba Revolve, 12889 Moore St, Cerritos, CA 90703 ("Sponsor").
2. Entry Period: The Revolve Festival Scavenger Hunt (the "Contest") commences on April 6, 2024 at 9:00 AM PST and ends on April 7, 2024 at 12:00 AM PST or when the Grand Prize is found, whichever is earlier (the "Entry Period"). Multiple entry deadlines within the Entry Period apply. All videos related to Contest participation must be received by 12:00 AM PST on April 7, 2024. Entries received prior to the beginning of or after end of the Entry Period shall be considered void. Sponsor's computer is the official time keeping device for this Contest. Use of a profane username or the submission of false or misleading personal information by an Entrant (as defined in this Section 4 below) will be grounds for disqualification. Determination of information to be profane, false, or misleading is at the sole discretion of the Sponsor Contest is and shall hereafter be subject to all applicable federal, state, and local laws. Entries will neither be acknowledged nor returned other than as herein described.
3. Eligibility: The Contest is open to individuals who are legal residents of the fifty (50) United States or the District of Columbia that are at least eighteen (18) years of age at the time of entry. Entrants who have not yet reached the age of majority in the jurisdiction in which they reside will need to obtain the permission(or be accompanied by) from their parents/legal guardians in order to enter and to be declared a Prize Winner (as defined in this Section 5 below), and may be required to evidence that permission in writing at the request of the Sponsor. Employees, directors, and officers, and their immediate families (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings) and members of their household, whether or not related, of Sponsor, its affiliated companies, parents, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, web site providers, web masters, and third party fulfillment agencies (collectively, the "Contest Entities") are not eligible to enter or win this Contest. By participating in this Contest, Entrants: (i) agree to be bound by these Official Rules and by the interpretations of these Official Rules by the Sponsor, and by the decisions of the Sponsor, which are final in all matters relating to this Contest and (ii) acknowledge compliance with these Official Rules. TikTok Account Creation: If a potential Entrant does not already have a TikTok account, he/she can create a free TikTok account according to the instructions on www.tiktok.com. Instagram Account Creation: If a potential participant does not already have an Instagram account, he/she can create a free one by following the instructions on help.instagram.com and following. Participants must have their TikTok and/or Instagram account set to "public" in order to be eligible to enter and win the Contest.

   To be eligible, entrants must be lawfully permitted and available to be on the premises of each Location (defined below) at or after 9:00 AM PST April 6, 2024, and at or after 9:00 AM PST on April 7, 2024, and (iv) have completed all required releases at the Contest Starting Point (as defined in Section 4 below). The two locations may be referred to as a "Location" or collectively as the "Locations" Entrants must be physically present at the Locations as specified in Section 4 below in order to be eligible to win a prize. YOU MUST BE ABLE TO TRAVEL TO EACH OF THE LOCATIONS ON THE DATE INDICATED BELOW IN ORDER TO BE ELIGIBLE TO WIN THE CONTEST.

4. To Enter: During the Contest Period, you may enter the Contest as follows:

Scavenger Hunt: At or around 9:00 AM PST on April 6, 2024 and April 7, 2024 the Sponsor will post the general location in or around Los Angeles County, California (each a “Location”) of where the Prize is located and one (1) clue to help find the Prize at each Location for each respective day (collectively, the "Clues") on the Revolve Instagram page (the "Revolve Instagram Page") and on the Revolve TikTok page (the "Revolve TikTok Page") (together, the "Revolve Social Pages"). Once the Clues are posted on each day, Entrants may search the Location for that day to find the respective Prize for that day.

   PLEASE NOTE THAT ANY AND ALL SUBMISSIONS AND METADATA SUBMITTED FOR THIS CONTEST MUST BE PUBLICLY VIEWABLE ON TIKTOK AND/OR INSTAGRAM, AS APPLICABLE. IN ADDITION, ENTRANTS ACKNOWLEDGE THAT THEIR ENTRIES MAY BE REPOSTED BY THE PUBLIC OR OPEN TO PUBLIC COMMENTARY ON TIKTOK AND/OR INSTAGRAM (DEPENDING ON WHERE THE ENTRANT POSTED HIS/HER VIDEO). BY PARTICIPATING IN THIS CONTEST, ENTRANTS RELEASE CONTEST ENTITIES, TIKTOK, INC. AND INSTAGRAM, INC. FROM ANY AND ALL LIABILITY ASSOCIATED WITH ANY REPOSTING OF THEIR VIDEOS OR PUBLIC COMMENTARY ON THEIR VIDEOS BY MEMBERS OF THE PUBLIC ON INSTAGRAM AND/OR TIKTOK, AS APPLICABLE.

   By participating in this Contest, you acknowledge and agree that you will clearly and conspicuously disclose that you are participating in this Contest in any social sharing interaction that references the Contest. At a minimum, you must include the hashtag #RevolveScavengerHuntContest when posting to Instagram and/or TikTok in connection with this Contest. Sponsor reserves the right in its sole discretion to disqualify any entrant who does not adequately disclose his or her participation in this Contest while interacting with social media platforms during the Entry Period.

   By posting or sending a video as a part of the Contest, Entrant agrees: (i) that he/she has all rights to the contents of the video and all components thereof, and that Entrant has obtained all rights, consents and permission, necessary to grant the rights granted herein; (ii) that the video does not and will not violate any law, statute, ordinance or regulation; (iii) that the video is free and clear of any liens or claims with respect to the use of the video in the manner authorized herein and will not give rise to any claims of infringement, invasion of privacy or publicity or claims, or infringe on any rights or interests of any third party, or give rise to any claims for any payment whatsoever, including but not limited to claims for re-use fees or residuals; (iv) that the video is not and will not be defamatory, trade libelous, pornographic or obscene, and will not depict or entail Entrant or any other person engaging in dangerous, tortious, or unlawful activities; and (v) that the video is original and has not been previously published or won any award.

   As further described in Section 9 below, Entrant agrees that by entering into this Contest he/she is granting Sponsor the non-exclusive, worldwide irrevocable right and license, but not the obligation, to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, dub, superimpose, rebroadcast, transmit, record, publicly perform and distribute and synchronize in timed relation to visual elements, any video posted or sent by Entrant in connection with this Contest, and/or any portions or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised for any purpose, throughout the world in perpetuity. Except where prohibited by law, Sponsor may use videos posted or sent by Entrants (or any portion thereof, including, without limitation an Entrant's TikTok and/or Instagram account name/handle), for any purpose, including, without limitation to advertise, promote and publicize, the Contest, Sponsor's business, products and worldwide programming services and/or Sponsor's websites in all media throughout the universe and may authorize others to do so on its behalf; such advertising, promotion and publicity may include portions and excerpts, in addition to cut-in, synchronized, dubbed and superimposed versions of the Entries.

   The Entrant acknowledges that Sponsor may use any video that they post or send in connection with this Contest in accordance with the permission granted herein without any payment to the undersigned or any third party.

   Requirements for Videos:

   All videos posted to TikTok or Instagram in connection with this Contest:

   • MUST be submitted in one of the video formats supported by TikTok and Instagram (as applicable).
   • MUST be at least 30 seconds and no more than 1 minute in length, and be no larger than 20 MB.
   • MUST be clear and easy to see, hear and understand.
   • MUST be in English.
   • MUST comply with the TikTok Terms of Service (available at https://www.tiktok.com/legal/terms-of-service), TikTok Community Guidelines (available at https://www.tiktok.com/community-guidelines?lang=en), Instagram Terms of Use (available at http://instagram.com/about/legal/terms/), and the Instagram Community Guidelines (available at https://help.instagram.com/477434105621119/), as applicable.
   • MUST NOT contain, include, reference, or involve third parties, including but not limited to minors, celebrities and friends, who have not expressly authorized Entrant to display their image or likeness or otherwise use such images or likenesses in accordance with these Official Rules. Entrant must be prepared to provide signed third party authorizations upon request.
   • MUST NOT contain, include, reference, or involve obscenity, sexually explicit activities, pornography, crude, vulgar or offensive pictures, depictions, images, language and/or symbols, gang signs or symbols, excessive, extreme or gratuitous violence, glamorization of illegal drug or alcohol use, commercial products (e.g., clothing, toys, food) and/or their trademarks, brands, logos or endorsements, unauthorized trademarks and copyrighted material (e.g., music, etc.), license plates, phone numbers, personal addresses – physical or email or otherwise, website or webpage links, derogatory characterizations of any ethnic, racial, sexual or religious groups, humiliation of other people (publicly or otherwise), or any assault or threatening of others, derogatory characterizations of the Contest Entities, the Locations, their respective parent entities, or each of their respective employees, directors, managers, agents, athletes, contractors, talent, or representatives, trespass or the violation of other people's rights or property, illegal (e.g., discriminatory, harassing) or inappropriate activity, behavior or conduct (e.g., inflicting emotional distress), which shall be determined by the Sponsor in its sole discretion, conduct or activities in violation of these Official Rules, or any other content, display, materials and/or images that is or could be considered inappropriate, unsuitable or offensive, as determined by Sponsor in its sole discretion.

   Any videos submitted that exceed the size or time limits, or are not in one of the accepted formats, as applicable, will be disqualified. Sponsor reserves the right in its sole and unfettered discretion to disqualify and/or take down any video that it believes contains obscene, offensive or inappropriate content, that does not comply with these Official Rules or that is not consistent with the spirit or theme of the Contest.

   Sponsor is not obligated to, use, publish, display or broadcast any submitted videos (in whole or in part). Each Entrant acknowledges that Sponsor will rely on such Entrant's agreement and compliance with these Official Rules when Entrant submits or attempts to submit a video.

   In submitting a video as participation with this Contest, each Entrant agrees to, confirms and represents to Sponsor that neither he/she nor anyone else has engaged or taken part in (or induced or encouraged anyone else to do so) in any activity or conduct in connection with this Contest that: (i) may or is likely to harm or create a risk of harm, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to any person, other living thing or any property; (ii) may/or is likely to create a risk of any other loss or damage to person, living things or property; (iii) is or may constitute a crime, unlawful or non-consensual activities (e.g., conduct that could lead to criminal prosecution), tortious conduct (e.g., conduct that could lead to civil prosecution) or the violation or infringement of the rights of any other party; or (iv) violates any of the terms or conditions of these Official Rules. Entrants further warrant and represent that they have secured the requisite consent from any third party referenced or featured in their video(s).

   Any attempt by any Entrant to participate in the Contest by using multiple and/or different identities, forms, registrations, addresses or any other method may disqualify Entrant at Sponsor's discretion. Multiple Entrants are not permitted to share the same TikTok account or Instagram account. Normal Internet charges imposed by your online service may apply. Incomplete, illegible, corrupted, or untimely registration materials or videos are void and will be disqualified. Sponsor and its agencies are not responsible for lost, late, incomplete, damaged, stolen, misdirected, or illegible registration materials or videos; lost, interrupted, or unavailable network, server, or other connections; or miscommunications, computer or software malfunctions, telephone transmission problems, technical failures, garbled transmissions, damage to a user's computer equipment (software or hardware), or other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. In the event of a dispute over who submitted registration materials or a video, the authorized account holder of the email address associated with the registration materials or TikTok/Instagram account will be deemed to be the Entrant. The authorized account holder is defined as the natural person to whom the email address is assigned by an Internet service provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Sponsor will disqualify anyone suspected of entering by opening additional, separate accounts with different email addresses.

   If you provide the Contest Entities with your cell phone number at the time of Registration, the Sponsor may contact you at that cell phone number to provide you with information relating to the Contest, including notifying you if you are a Prize Winner (as defined below). Text messaging may not be available from all mobile phone service carriers and handset models. Normal internet access charges imposed by your online service may apply. Additionally, if you opt to use TikTok or Instagram via your wireless mobile device (which may only be available via participating wireless carriers and is not required to enter the Contest), standard text messaging and/or data rates may apply for each message sent or received from your handset according to the terms and conditions of your services agreement with your wireless carrier. Please note that if you provide your cell phone number or by using your cell phone throughout this Contest, you may be subject to charges (such as normal airtime and carrier charges) pursuant to your carrier's rate plan and such charges may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on data plans and charges relating to your participation in this Contest. 5. 7. Prize Winners Selection/Notification: One (1) prize winner will be selected on April 6, 2024, one (1) prize winner will be selected on April 7, 2024, (each, a "Prize Winner" and collectively, the "Prize Winners"). The Prize Winner for each respective day will be deemed to be the Entrant who first finds the respective prize, based on the direction provided by the Clues. Entrants may decide to participate in the Contest together, however, only one (1) Entrant will be deemed the winner of each prize. In the event that two or more Entrants find a prize at the same time, as determined by Sponsor, a tiebreaker shall be used to determine a Prize Winner, as described below.

   Tie Breaker: In the event that two or more Entrants find a prize at the same time, as determined by Sponsor in Sponsor's sole discretion, Sponsor shall use a tiebreaker to determine a single Prize Winner. The Entrants who are tied shall be asked to [scan the QR code located with the prize and contact REVOLVE]. The Entrant who [contacts REVOLVE first wins the prize] shall be deemed the Prize Winner for the respective prize.

   The final determination of the Prize Winners shall be in the sole and absolute discretion of Sponsor. Sponsor reserves the right to extend the Entry Period or modify the number of Prize Winners, if Sponsor determines, in its sole and absolute discretion, that participation by Entrants did not meet the minimum qualification standards. Sponsor reserves the right to delay the announcement of a Prize Winner in its sole discretion. To the extent permitted by law, Sponsor disclaims any liability from, and Entrants, whether or not selected as a Prize Winner, agrees to waive, any claims against Sponsor relating to the awarding process. Sponsor reserves the right to select an alternate Prize Winner in the event that any Entrant who has participated in the Contest and/or posted or submitted a video fails to comply with these Official Rules.

   YOU MUST BE PRESENT AT THE APPLICABLE LOCATION IN ORDER TO BE ELIGIBLE TO WIN THE CORRESPONDING PRIZE FOR THAT LOCATION. YOU, THE ENTRANT, ARE RESPONSIBLE FOR ALL COSTS ASSOCIATED WITH TRAVELING TO THE LOCATION TO PARTICIPATE IN THE CONTEST.

6. Prize Winners Verification. Potential Prize Winners must prove eligibility, including, without limitation, proof of age and residence, prior to participating in the Scavenger Hunt for each respective day (that is, prior to 9:00 AM PST on April 6 and April 7 and prior to receiving a prize, or the prize will be forfeited and Sponsor will have no further obligation to the potential Prize Winner. Proof of age and residence can be demonstrated by showing government-issued ID (e.g., driver's license, passport, etc.). In the event of non-compliance by a potential Prize Winner, such potential Prize Winner shall be disqualified, all privileges otherwise due as the Prize Winner shall be terminated, and an alternative potential Prize Winner may be chosen or given an opportunity to win (as determined by Sponsor in its sole discretion). Prize Winner must sign (his/her parent/legal guardian must sign if Prize Winner is not the age of majority in the jurisdiction in which he/she resides) the following documents at the Location: (i) an affidavit of eligibility and release of the Released Parties (as defined in Section 9), from any and all liability, loss, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use/misuse or acceptance of a Prize (as hereinafter defined) or any portion thereof to be eligible for a Prize; and (ii) except where prohibited by law, a promotional release granting Contest Entities the right to use his/her name and likeness for advertising and publicity purposes without additional compensation and (iii) any other documentation required by Sponsor, including a W2 form and Prize Winner's social security number for tax purposes (collectively, the "Releases"). Entry into this Contest constitutes agreement to sign such Releases. The Prize Winner also must acknowledge that Sponsor has not and will not obtain or provide insurance of any kind relating to the Prize and that Prize Winner will be responsible for obtaining and paying for any life, travel, accident, property or other form of insurance relating to the Prize. The Prize Winner and any third party featured in the Prize Winners' Entries must also complete any additional legal documents provided by Sponsor (or third party on its behalf, if applicable) with respect to the Prize and return them as instructed within the time frame specified by Sponsor or Prize Winner may forfeit Prize at Sponsor's sole discretion. Failure to return all such documents and comply with Sponsor's deadlines, noncompliance with these Official Rules or the return of any prize or prize notification will result in disqualification and selection of an alternate winner. All decisions of the Sponsor relating to the Contest are final. Sponsor expressly reserves the right to delay the announcement of the Prize Winner for creative or technical reasons or for any other reason Sponsor deems necessary.

   2. 2. Day 2 Prize: On April 7, 2024, one (1) Prize Winner will win two (2) $500 gift cards to shop on www.revolve.com. and two (2) general invitations to attend the REVOLVE Festival event in Palm Springs, CA on April 13 2024 Approximate Retail Value ("ARV"): $1000.
   Total ARV all Prizes: $2,000.

   Prize Restrictions: Grand Prize does not include transportation for Grand Prize Winner and his/her guest to or from the Event, travel accommodations, or any other travel-related costs or expenses, and Grand Prize Winner is responsible for such costs, as well as all other costs, fees, and expenses not specifically described herein as included in Grand Prize.    In the event Grand Prize Winner and/or Grand Prize Winner's guest engages in behavior during participation in any part of the Grand Prize that (as determined by Sponsor) is obnoxious or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor's services, products, trademarks, service marks, or logos, Sponsor reserves the right to terminate the Grand Prize early, and remove Grand Prize Winner and/or Grand Prize Winner's guest from the Event with no further obligations or compensation whatsoever to Grand Prize Winner and/or Grand Prize Winner's guest (which may, in Sponsor's discretion, result in such winner's disqualification from the Contest and forfeiture of any (and/or all) prize(s). In the event Grand Prize Winner or Grand Prize Winner's guest engages in behavior during participation in the Grand Prize that (as determined by Sponsor) is illegal, tortious, or subjects Grand Prize Winner or Grand Prize Winner's guest to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Grand Prize Winner or the Grand Prize Winner's guest as a result of such conduct. Sponsor shall have no liability for any personal injuries, death, property damage, or other damages or expenses resulting from or arising out of any travel related to the Grand Prize, attendance or participation in the Event, or any other aspect of Grand Prize Winner's or Grand Prize Winner's guest's acceptance or use of the Prize.

   A Prize will be awarded only if the Prize Winner fully complies with these Rules. The Prize Winner agrees that he or she accepts the Prize at his or her own risk. No transfer, assignment, exchange, refund or substitution of a Prize (or portion of any Prize) is permitted unless Sponsor, in its sole discretion, determines otherwise. Revolve Gift Cards are awarded on an 'as is' basis, and cannot be redeemed for cash or used as payment for purchases of additional gift cards or as an adjustment to prior purchase(s). Revolve Gift Cards are subject to the terms and conditions on the applicable website and/or Revolve Gift Cards. Revolve Gift Cards are promotional in nature and are not paid for by the Prize Winner, and the Prize Winner does not own any right, title, or interest in it unless or until he or she redeems it under the terms set forth herein. The Prize Winner must protect and treat the Prize as he or she would treat any other valuable document. A Prize Winner will not receive cash or any other form of compensation if actual costs are less than the ARV in these Rules or in lieu of the Prize awarded. Prize may not be combined with any other offer or any other promotional benefit. If a Prize Winner is unable or unwilling to accept a Prize, or any portion thereof, as stated, the Prize may be forfeited in its entirety and may be awarded to an alternate winner at the sole discretion of Sponsor. All details and other restrictions of a Prize not specified in these Rules will be determined by Sponsor in its sole discretion. Sponsor reserves the right to substitute an alternative prize, in whole or in part, of equal or greater monetary value if a Prize becomes unavailable or cannot be awarded as described for any reason. The Prize will not be replaced or replenished if it is lost, stolen, damaged, destroyed or used without the winner's permission. Prize pictured in advertising, marketing or promotional materials is for illustrative purposes only. All costs, including federal, state and local taxes, insurance, any costs/expenses related to participation in the Contest or acceptance or use of the Prize, and other expenses not specifically identified as included in the Prize, are the sole responsibility of the Prize Winner. SPONSOR MAKES NO WARRANTIES OR GUARANTEES OF ANY KIND REGARDING THE PRIZE, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND THE WINNER SHALL TAKE THE PRIZE "AS IS" AND AT HIS OR HER OWN RISK.

   Grand Prize Winner's guest must be at time of Prize fulfillment the age of majority in the jurisdiction in which s/he resides (and at least eighteen (18) years of age), unless accompanied by a parent or legal guardian, and must complete and return a liability/publicity release. If guest is a minor in his/her state of residence, minor's parent/legal guardian must complete and return all releases on behalf of minor. If Grand Prize Winner elects to attend the Event without a guest, no additional compensation will be awarded. If Grand Prize Winner elects to attend the Event with more than one guest, such additional guest(s) shall be responsible for any and all costs associated with attendance at the Event, including securing tickets to the Event. Grand Prize Winner and guest are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. No refund or compensation will be made in the event of the cancellation or delay of the Event except at the sole discretion of Sponsor. Prior to the Event, Winner must provide Sponsor the name of Winner's guest for attendance at the Event. Prior to the Event, Winner must provide Sponsor the name of Winner's guest for attendance at the Event. Once Grand Prize Winner has provided Sponsor with guest's name in connection with the Grand Prize, Grand Prize Winner may not change his/her/their guest. As a condition of receiving the Grand and Prize, Grand Prize Winner and Grand Prize Winner's guest must strictly comply with Sponsor's safety and prevention guidelines protocols, including any applicable protocols that Sponsor may implement in relation to COVID-19 (in Sponsor's sole discretion).

   In the event Grand Prize Winner and/or guest engages in behavior during the Event or travel to and from the Event that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor's services, products, trademarks, service marks, or logos, Sponsor reserves the right to send the Grand Prize Winner and/or guest home with no further obligations or compensation whatsoever to Grand Prize Winner and/or guest (which may, in Sponsor's sole discretion, result in such Grand Prize Winner's disqualification from the Contest and forfeiture of any (and/or all) prize(s). In the event Grand Prize Winner or guest engages in behavior during the Event or travel to and from the Event that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects Grand Prize Winner or guest to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Grand Prize Winner or guest as a result of such conduct. Sponsor shall have no liability for any personal injuries, death, property damage, or other damages or expenses resulting from or arising out of any travel related to the Prize or any other aspect of GRAND Prize Winner's or Guest's acceptance or use of the Prize.

8. General Terms: Noncompliance with any of these Official Rules may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY A PRIZE WINNER OR ANY BEHAVIOR BY A PRIZE WINNER THAT WILL BRING SUCH PRIZE WINNER OR CONTEST ENTITIES INTO DISREPUTE (IN SPONSORS' SOLE DISCRETION) WILL RESULT IN SUCH PRIZE WINNER'S DISQUALIFICATION AS A PRIZE WINNER OF THE CONTEST AND ALL PRIVILEGES AS A PRIZE WINNER WILL BE IMMEDIATELY TERMINATED. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any entrant regarding this Contest, except as expressly set forth in these Official Rules. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the entry process and/or the legitimate operation of the Contest; to violate the Official Rules; to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing or participation practices; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. The Contest Entities assume no responsibility for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in this Contest or by any human error which may occur in the processing of the entries in this Contest. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest, or in the announcement of the Prizes and Prize Winners. If, for any reason, the Contest cannot be run as planned, including, without limitation, unauthorized intervention, fraud, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest. Should the Contest be terminated prior to the stated expiration date, the Prize may be awarded from among all Eligible Entries received up until and or after (if applicable) the time of modification, cancellation or termination or in a manner that is fair and equitable as determined by Sponsor. All interpretations of these Official Rules and decisions by Sponsor are final. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE CALIFORNIA COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF CALIFORNIA SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.
9. Limitations of Liability and Releases: By entering the Contest, each Entrant agrees to forever and irrevocably release and hold harmless Sponsor, TikTok, Inc., Instagram, Inc., and each of its affiliates, parent companies, subsidiaries, representatives, consultants, contractors, attorneys, suppliers, distributors, advertising/promotional agencies, business partners, public relations, fulfillment and marketing agencies, website providers and their respective officers, directors, stockholders, employees, agents, and representatives (collectively, the "Released Parties") from any and all claims, lawsuits, judgments, causes of action, injuries, losses, proceedings, demands, fines, penalties, liabilities, costs and expenses (including, without limitation, reasonable attorneys' fees and costs) (collectively, "Claims") related to this Contest or Prize, including without limitation, Claims that may arise in connection with: (i) incomplete, lost, late, stolen, damaged, misdirected or illegible Entries or for failure to receive Entries due to any cause including, but not limited to, human, transmission, or technical problems, failures, or malfunctions of any kind, whether originating with sender, Released Parties or otherwise, that may limit an Entrant's ability to participate in the Contest; (ii) acceptance, receipt, travel related to, participation in, delivery of, possession, defects in, use, non-use, misuse, inability to use, loss, damage, destruction, negligence or willful misconduct in connection with the use of the Prize (or any component thereof); (iii) any change in the Prize (or any components thereof) due to unavailability or due to reasons beyond Sponsor's control; (iv) any incorrect or inaccurate information, whether caused by Entrant, printing or typographical errors or by any of the equipment or programming associated with or utilized in the Contest; (v) the violation of any third-party privacy, personal, publicity or proprietary rights; (vi) any interruptions in or postponement, cancellation or modification of the Contest or these Rules; (vii) any technical malfunctions or unavailability of any telephone network, computer system, online system, computer timing and/or dating mechanism, computer equipment, software or Internet service provider, or mail service utilized by any of the Released Parties or by an Entrant; (viii) any wrongful, negligent, or unauthorized act or omission on the part of any of the Released Parties; (ix) death or personal injury caused by negligence any injuries, losses, liabilities or damages of any kind including personal injury or death caused by the Prize or resulting from acceptance, possession or use of a Prize including participation in any activity or travel related thereto, or from participation in the Contest; or (x) any inability of the Potential Winner to accept or use the Prize (or portion thereof) for any reason. Released Parties assume no responsibility for any damage to an Entrant's computer system which is occasioned by accessing the websites of Released Parties or participating in the Contest, or for any computer system, phone line, mobile phone, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature, or for the incorrect or inaccurate capture of information, error in Entries or selection announcement, or the failure to capture any information. Released Parties will not be responsible or liable for any Entries in excess of the stated limit or for Entries that are late, forged, lost, misplaced, misdirected, tampered with, incomplete, deleted, damaged, garbled or otherwise not in compliance with the Rules, and all such Entries may, in Sponsor's sole and absolute discretion, be disqualified. Entrant further agrees that Released Parties are in no matter responsible for any warranty, representation, or guarantee, express or implied, in fact or in law, relating to the creation, administration or fulfillment of the Contest and/or the awarding of any prize. Released Parties will not be liable to Potential Winner, or any other person for failure to supply any prize or any part thereof, by reason of fire, flood, epidemic, pandemic, widespread illness, earthquake, unusually severe weather, hurricane, embargo, explosion, labor dispute or strike, labor or material shortage, transportation interruption of any kind, work slow-down, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, any federal, state, or local government law, order, request, or regulation, or order of any court or jurisdiction (each a "Force Majeure" event or occurrence), or any other cause beyond Released Parties' control. Further, participants agree to waive the provisions of Civil Code Section 1542 which states: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY." The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims. THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION AND ELSEWHERE IN THESE RULES APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE APPLICABLE PORTIONS OF THESE RULES MAY NOT APPLY TO YOU.

   You must always practice safe behavior throughout participation in this Contest. By participating in this Contest, you are assuming all responsibility for your actions and decisions. And, by participating in this Contest, you also confirm that you: (a) are in good health and proper physical condition and do not have any medical or other conditions that would impair your ability to participate in the Contest or Prize; and (b) are not experiencing symptoms of any bacterial or viral diseases, including COVID-19 (collectively, the "Disease"), do not have a confirmed or suspected case of the Disease, and have not come in contact in the last ten (10) days with a person who has been confirmed to have or suspected of having the Disease. You will comply with all national, federal, state, and local laws, orders, directives, and guidelines related to the Contest, any Prize, and the Disease while on the premises of the Locations or participating in the Contes and/or Prize. You will also follow all instructions, recommendations, and cautions of Sponsor at all times during the Contest and/or Prize. If at any time you believe conditions to be unsafe, that you are no longer in proper physical condition to participate in the Contest and/or Prize, or if you begin experiencing symptoms of the Disease, you will immediately discontinue further participation in the Prize. Additionally, if, at any time, should Sponsor deem you unfit to participate in the Contest and/or Prize, for any reason, you may be denied the opportunity to participate in the Contest and/or Prize at their discretion.

10. Publicity; Intellectual Property: EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE CONTEST CONSTITUTES WINNER'S GRANT TO SPONSOR (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR), AND THE RELEASED PARTIES THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLD WIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, ANY MATERIALS POSTED OR SENT BY AN ENTRANT IN CONNECTION WITH THIS CONTEST, AND ENTRANT'S, NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, OPINIONS AND BIOGRAPHICAL INFORMATION (INCLUDING BUT NOT LIMITED TO HOMETOWN AND STATE) FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

    BY ENTERING, ENTRANT AGREES THAT ANY MATERIALS POSTED OR SENT BY AN ENTRANT IN CONNECTION WITH THIS CONTEST, COMMUNICATIONS OR SUBMISSIONS, CREATIVE SUGGESTIONS, IDEAS, NOTES, CONCEPTS OR OTHER MATERIALS ("SUBMISSIONS") THAT ENTRANT MAY SUBMIT TO SPONSOR OR POST IN CONNECTION WITH THIS CONTEST, INCLUDING ALL RIGHTS EMBODIED THEREIN, WHETHER SENT VIA THE WEBSITE OR ELECTRONIC MAIL OR SOME OTHER MEANS, WITH THE EXCEPTION OF PERSONALLY IDENTIFIABLE INFORMATION AS IDENTIFIED IN SPONSOR'S PRIVACY POLICY (AVAILABLE AT www.revolve.com/privacypolicy, ARE DEEMED TO BE NON-CONFIDENTIAL AND NON-PROPRIETARY AND SPONSOR SHALL HAVE NO OBLIGATION OF ANY KIND WITH RESPECT TO SUCH SUBMISSIONS. SPONSOR SHALL BE FREE TO EDIT, EXPLOIT, MODIFY, PUBLISH, REPRODUCE, USE, DISCLOSE, DISSEMINATE AND DISTRIBUTE THE SUBMISSIONS TO OTHERS WITHOUT LIMITATION IN ANY AND ALL MEDIA NOW KNOWN OR NOT CURRENTLY KNOWN, THROUGHOUT THE WORLD IN PERPETUITY FOR ANY PURPOSE WITHOUT COMPENSATION, PERMISSION OR NOTIFICATION TO ENTRANT OR ANY THIRD-PARTY. ENTRANT HEREBY GRANTS TO THE SPONSOR AND ITS LEGAL REPRESENTATIVES, SUCCESSORS AND ASSIGNS, AN IRREVOCABLE, AND WORLD-WIDE LICENSE TO USE IN PERPETUITY THE SUBMISSIONS IN ANY FORM OR FORMAT AND TO MODIFY THE SAME, AND ACKNOWLEDGES AND AGREES THAT IF SPONSOR DOES USE THE SUBMISSIONS ENTRANT SHALL NOT BE ENTITLED TO ANY CREDIT, CONSIDERATION, NOTICE OR PAYMENTS OF ANY KIND. ENTRANT WAIVES ANY MORAL RIGHTS HE OR SHE MAY HAVE TO THE SUBMISSIONS, AND AGREES THAT IF SPONSOR ELECTS TO USE SUBMISSIONS FOR ANY PURPOSE, ALL RIGHTS UNDER COPYRIGHT OR OTHER INTELLECTUAL PROPERTY RIGHTS WHICH MAY RESULT FROM THAT RELATING TO ENTRANT'S SUBMISSIONS OR FROM USE OF THE SAME BY SPONSOR SHALL BE THE SOLE PROPERTY OF SPONSOR. ENTRANT FURTHER AGREES THAT IF SPONSOR ELECTS TO USE ENTRANT'S SUBMISSIONS, ENTRANT WILL EXECUTE ANY DOCUMENTS REQUESTED BY SPONSOR REGARDING THIS ASSIGNMENT. IF ANY USE BY SPONSOR OF THE SUBMISSIONS CAUSES IT TO BE LIABLE TO ANY THIRD-PARTY, ENTRANT AGREES TO INDEMNIFY SPONSOR AND ITS AGENTS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVE AND ALL RELATED PARTIES FROM AND AGAINST ANY AND ALL DAMAGES, COSTS, JUDGMENTS AND EXPENSES (INCLUDING REASONABLE ATTORNEY FEES) WHICH IT INCURS AS A RESULT OF ITS USE OF THE SUBMISSIONS.

11. Nature of Relationship/Waiver of Equitable Relief: Each Entrant understands and acknowledges that Sponsor has wide access to ideas, designs, and other materials, and that new ideas are constantly being submitted to it or being developed by their own employees. Each Entrant also acknowledges that many ideas may be competitive with, similar or identical to the Submission and/or each other in theme, idea, format or other respects. Each Entrant acknowledges and agrees that such Entrant will not be entitled to any compensation as a result of Sponsor's use of any such similar or identical material. Each Entrant acknowledges and agrees that the Sponsor does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and to the Submission. Finally, each Entrant acknowledges that, with respect to any claim by entrant relating to or arising out of Sponsor's actual or alleged exploitation or use of any Submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of the Submission or any material based on or allegedly based on the Submission, and the Entrant's rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
12. Disputes: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE RULES, OR THE RIGHTS AND OBLIGATIONS OF THE ENTRANT AND SPONSOR IN CONNECTION WITH THE CONTEST, SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES (WHETHER OF THE STATE OF CALIFORNIA OR ANY OTHER JURISDICTION), WHICH WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY JURISDICTION OTHER THAN THE STATE OF CALIFORNIA. BY ENTERING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY AWARD AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; AND 3) EXCEPT WHERE PROHIBITED, UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. EXCEPT WHERE PROHIBITED, EACH PERSON WHO PARTICIPATES IN THE CONTEST IRREVOCABLY AGREES THAT SUCH DISPUTE(S) WILL BE RESOLVED SOLELY BY BINDING ARBITRATION BEFORE A SOLE ARBITRATOR, WITH EXPERIENCE IN ADVERTISING OR PROMOTION AND ENTERTAINMENT LAW, UNDER THE RULES AND REGULATIONS OF THE AMERICAN ARBITRATION ASSOCIATION ("AAA") (AAA CONSUMER ARBITRATION RULES AND CONSUMER DUE PROCESS PROTOCAL ARE AVAILABLE ONLINE AT WWW.ADR.ORG AND https://www.adr.org/consumer OR BY CALLING AAA AT 1-800-778-7879); PROVIDED, HOWEVER, THAT NOTWITHSTANDING THE PARTIES' DECISION TO RESOLVE ANY AND ALL DISPUTES ARISING UNDER THIS CONTEST THROUGH ARBITRATION, SPONSOR MAY (1) SEEK TO OBTAIN INJUNCTIVE RELIEF OR OTHER EQUITABLE RELIEF FROM A COURT TO ENFORCE THE PROVISIONS OF THESE RULES; (2) BRING AN ACTION IN COURT TO PROTECT AND INTERPRET SPONSORS INTELLECTUAL PROPERTY RIGHTS; AND/OR (3) BRING AN ACTION TO ENFORCE THE DECISION OF THE ARBITRATOR BEFORE ANY COURT WITH APPLICABLE JURISDICTION. THE ARBITRATION WILL BE HELD IN LOS ANGELES, CALIFORNIA. THE ARBITRATOR WILL APPLY THE SUBSTANTIVE LAWS OF THE STATE OF CALIFORNIA, WILL ISSUE A WRITTEN DECISION AND WILL HAVE THE POWER TO AWARD ANY LEGAL REMEDIES EXCEPT AS LIMITED BY THESE RULES. The parties will split the arbitrator's fee; provided, however, if applicable law requires Sponsor to pay the arbitrator's fee in order for the arbitration provision to be enforceable, Sponsor shall have the discretion to pay such fees and proceed to arbitration. Entrant irrevocably waives any right to bring or join in any class action regarding the Contest. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof. This arbitration provision shall be deemed to be self-executing, and in the event that any party fails to appear to any properly noticed arbitration proceeding, an award may be entered against such party notwithstanding said failure to appear.
13. INDEMNITY: Each Entrant (including Winner) shall indemnify, defend and hold harmless the Released Parties from and against any and all claims, damages, actions, liability, loss, injury or expense, including reasonable attorneys' fees and costs, arising out of or in connection with: (a) Entrant's participation in the Contest; (b) a breach or allegation which if true would constitute a breach of any of the representations, warranties or obligations herein; and (c) acceptance, possession, grant, or use of any Prize, including without limitation, personal injury, death and property damage arising therefrom.
14. Privacy Policy/Data Collection: Any personally identifiable information collected during an Entrant's participation in the Contest will be collected by Sponsor or its designee(s) and used by Sponsor, its affiliates, designees, agents and marketers for purposes of the proper administration and fulfillment of the Contest as described in these Rules and in accordance with Sponsor's Privacy Policy located at www.revolve.com/privacypolicy. Each Entrant agrees to the collection, processing and storage of Entrant's personal data by Sponsor for purposes of the Contest.
15. Severability: If any portion of these Rules should be held invalid or unenforceable for any reason, such portion shall be deemed modified or severed from this agreement in such a manner as to enable the remaining portions of these Rules to remain in full force and effect as if no invalid or unenforceable provision had been part of this agreement.
16. Winners List and Official Rules: The Prize Winners' names will be available on or about April 8, 2024. For the Prize Winner's name, send a stamped, self-addressed envelope to: Eminent, Inc., Attention: Promos, 12889 Moore Street, Cerritos, CA 90703 or an email to promos@revolve.com. Subject: REVOLVE Festival Scavenger Hunt Contest - 04/06/24 - 04/07/24. Requests must be received within six (6) months following the close of the Entry Period.
